Terms of
Service.

These Terms provide the general contractual framework for access to and use of Pintop Technologies Limited’s software products, implementation services, support, training and related professional services.

The general framework beneath each client engagement.

These Terms apply where a client creates an account, signs or accepts an Order Form, purchases a service or otherwise receives authorised access to a Pintop product or service.

The exact product, implementation, licence, subscription term, fees, hosting arrangement, support level and project responsibilities are defined in the commercial documents applying to the engagement.

Where a signed agreement contains terms that differ from these general Terms, the signed agreement applies to the extent of that difference.

Documents that form the
engagement.

Not every document applies to every service. The relevant documents should be read together as one contractual arrangement.

Order Form or proposal

Identifies the product, subscription, fees, duration, billing structure and other commercial details.

Statement of Work

Defines project scope, milestones, deliverables, dependencies, acceptance and implementation responsibilities.

Terms of Service

Provides the general rules applying to access, payment, ownership, responsibility, termination and disputes.

Data Processing Agreement

Applies where Pintop processes personal data on behalf of the client through the contracted service.

Service Level Agreement

May define service availability, support, incident priority, exclusions and service-credit arrangements.

Referenced policies

Acceptable use, privacy, security, cancellation and other policies may apply where incorporated into the engagement.

Services

Pintop software products, subscriptions, implementations, integrations, support, training, consulting and professional services.

Client

The company, institution or other legal entity that purchases, subscribes to or receives the Services.

User

An individual authorised by the Client to access or use the relevant Service.

Commercial documents

The Order Form, proposal, statement of work, invoice, DPA, SLA or other document accepted for the engagement.

Client Data

Information submitted to, stored in or processed through the Services by or for the Client.

Subscription Term

The period during which the Client is entitled to use the subscribed Service, as stated in the applicable commercial document.

Responsibilities on
both sides.

Reliable delivery depends on Pintop performing the agreed service and the Client meeting the responsibilities required for that service.

Pintop responsibilities

  • Provide the Services described in the applicable commercial documents.
  • Apply reasonable skill and care in delivery, implementation and support.
  • Maintain appropriate controls for Pintop-managed systems and access.
  • Protect confidential Client information according to the applicable agreement.
  • Communicate material service matters through the appropriate engagement channels.

Client responsibilities

  • Provide timely information, decisions, access and cooperation required for delivery.
  • Maintain authorised users, roles, credentials and client-controlled infrastructure.
  • Ensure Client Data and processing instructions are lawful and appropriately authorised.
  • Use the Services only for lawful and permitted purposes.
  • Pay agreed fees and applicable taxes according to the relevant invoice and commercial terms.

Accounts, credentials and
acceptable use.

Each Client remains responsible for the people and credentials authorised to use its account or environment.

Fees and billing

Commercial terms belong to the applicable Order Form or proposal.

Currency, taxes, deposit requirements, billing cadence, invoice due dates, milestone payments and payment remedies are defined for each engagement.

Fees
Subscription, licence, implementation, support, training and project fees are stated in the commercial documents.
Taxes
Fees may be exclusive of applicable taxes, duties or statutory charges unless stated otherwise.
Payment date
Invoices should be paid by the due date stated on the invoice or applicable commercial document.
Overdue accounts
Pintop may apply the notice, suspension or other remedies permitted by the relevant agreement.
Refunds and cancellations
Refund eligibility is governed by the applicable agreement and Refund and Cancellation Policy.

Ownership, data and
confidential information.

Each party retains ownership of its existing information, technology and materials unless a project agreement expressly provides otherwise.

Pintop technology

Pintop retains ownership of its pre-existing software, frameworks, interfaces, documentation, designs, trademarks, tools and underlying technology.

Client Data

The Client retains its rights in Client Data. Pintop may process that data only as required to deliver, secure, support and administer the Services.

Confidential information

Each party should protect the other party’s non-public commercial, technical, security and business information using appropriate care.

Personal data processing

The client determines why its operational data is processed.

Where Pintop processes personal data for a Client, the Client remains responsible for the relevant processing purpose, lawful basis, notices, instructions and authorised use of the Service.

Lawful processing
The Client should have the rights, authority and lawful basis required for Client Data.
Documented instructions
Pintop processes personal data according to the agreement, configuration and authorised Client instructions.
User access
The Client remains responsible for assigning and reviewing access in Client-controlled accounts and environments.
Service providers
Approved providers may support hosting, communications, identity, payments or other contracted service functions.
Retention and exit
Data return, export, retention and deletion are governed by the DPA and applicable service terms.

Service delivery, maintenance and
support.

The delivery model depends on whether the engagement is a hosted subscription, client-managed deployment, project or support arrangement.

Service scope

Pintop provides only the products, modules, users, environments, deliverables and support expressly included in the applicable commercial documents.

Maintenance

Services may require planned or emergency maintenance. Communication and exclusions are governed by the applicable support or service-level terms.

Support

Support channels, hours, severity levels, response targets and included effort depend on the support plan or SLA.

Third-party dependencies

Integrations, telecommunications, identity, payment, cloud and other external services may be subject to separate provider terms and availability.

Product changes

Pintop may improve, update or replace product features, provided material contractual commitments are handled according to the applicable agreement.

Liability and remedies

Risk allocation is governed by the signed engagement terms.

Liability limits, exclusions, indemnities, warranties and remedies may vary according to the product, transaction, project risk and negotiated commercial agreement.

A signed agreement may contain specific financial caps, exclusions and claim procedures.
Service-level credits apply only where included in the applicable SLA.
The Client remains responsible for Client Data, lawful instructions and Client-controlled systems.
Pintop is not responsible for failures caused solely by Client systems or independent third-party services outside Pintop’s control.
Nothing excludes liability that cannot lawfully be excluded or limited.

Term, suspension and
termination.

Start dates, renewal, notice periods and termination rights are determined by the applicable commercial documents.

Service term

The engagement begins and continues for the period stated in the relevant Order Form, proposal or statement of work.

Renewal

A subscription renews only in the manner stated in the applicable commercial document.

Suspension

Access may be suspended where permitted for security, unlawful use, material risk, overdue payment or another contractual reason.

Termination

Either party may terminate according to the notice, breach, insolvency or other termination provisions in the applicable agreement.

Transition and export

Data export, assistance, handover and transition services depend on the product, technical capability and agreed exit arrangements.

Data deletion

Client Data is returned, retained or deleted according to the applicable DPA, retention requirements and service configuration.

Governing law and
general provisions.

The signed engagement may contain more detailed notice, dispute, assignment and interpretation provisions.

Governing law and disputes

These Terms are governed by the laws of the Federal Republic of Nigeria. Parties should first attempt to resolve disputes through good-faith discussion before using the dispute process stated in the applicable agreement.

General contractual provisions

Severability, waiver, assignment, force majeure, notices, relationship of the parties and the entire agreement are interpreted together with the commercial documents applying to the engagement.

Changes to these Terms

General terms may change as Pintop’s services evolve.

Pintop may update these Terms to reflect changes to its products, operating model, legal requirements or commercial framework.

The Last Updated date identifies the current published version.
Material changes affecting an active service may be communicated through an appropriate client channel.
A signed agreement remains authoritative for the engagement it governs unless formally amended.
